All orders are accepted and shipped subject to the following Terms & Conditions of sale which shall govern any contract entered into by Bedrosians (the "Seller") for the sale of its products; each shipment of products by the Seller shall be deemed to be only upon these terms and conditions notwithstanding any others which may be contained in any purchase order, acceptance, acknowledgment or other form of communication from the Buyer. Bedrosians salesmen and agents have no authority to approve any changes in the current prices of the Seller's products or in the terms and conditions upon which the products are sold without prior authorization from Management.
Any terms and conditions of our manufacturers that apply or affect any transaction of materials found in our Price Lists or on any other printed publication are hereby made a part of these Terms & Conditions.
Product prices found in our latest version of our Price Lists as well as in any other printed publication are subject to change without prior notice. Check with your nearest Bedrosians for the latest prices.
Whenever Bedrosians ships material to a Buyer via Common Carrier, etc., our Policy is as follows:
Delivery to initial carrier shall constitute delivery to the Buyer. Bedrosian's responsibility ceases upon delivery in good order to the carrier and all goods are shipped at Buyer's risk.
All remittances must be made to the order of Bedrosians in U.S. Dollars, and all sales are made on a cash basis unless the Seller otherwise agrees in writing. No credit is extended in consumer transactions.
Bedrosians reserves the right to require evidence satisfactory to it of the Buyer's financial responsibility at any time before shipment of an order, and credit earlier granted may be withdrawn and an order shipped on a cash basis if the same is not supplied.
If Bedrosians grants credit in a given sale, the terms are "Net 10th Prox." Payments are due the tenth of the following month from date of invoice. Damages by way of a Finance Charge of 2% per month (Annual Percentage Rate 24%) will be made on all overdue accounts.
All Sales are final and no returns are allowed. In special cases, if an exception is made for the return of normally stocked materials within 30 days of the purchase date, a 25% Restocking Fee will be charged and only full cartons will be accepted. No returns will be accepted on powder products after 15 days from date of purchase. Absolutely no returns accepted on Marble, Granite or other Natural Stones.
All Special Order Sales are non-cancelable, non-returnable and non-refundable.
The Customer and/or Contractor are/is responsible to verify, prior to installation, that Bedrosians supplied materials and products are correct as ordered. If supplied materials are found to be different than indicated on the invoice, Bedrosians will accept the returned materials and replace them with the correct ordered items or if material is not available, refund the associated invoice amount. Once supplied items are installed, however, Bedrosians accepts no liability for any material that was supplied in error, and will not replace material without payment nor compensate Customer and/or Contractor for associated costs.
Samples submitted as representative of a type of product, a tile, a color, a shade, or a kind of finish may vary from actual products shipped and Bedrosians cannot guarantee that furnished goods will match samples 100%.
NOTE:
No claim concerning color, shade or caliber will be allowed after the installation of the products.
Bedrosians is not responsible for product performance beyond guarantees or warranties by the manufacturers of goods sold by Seller and cannot be held liable for performance due to Buyer's improper installation or mis-use of any goods.
Buyer promises to pay Bedrosians the actual expenditures, including reasonable attorney's fees and court costs should legal proceedings be instituted to collect any amount due.
All transactions made pursuant to these Terms & Conditions shall be deemed to be made in and shall be governed by the laws of the State of California in effect at the time the transaction is finalized.
Fresno, California has proper jurisdiction over any and all litigations.
